What the report asks for

The LLC's name, its registered agent's name, email address and street address in Wisconsin, its principal office's street address, and at least one member, or a manager if managers run it, current as of the day it's signed. The report can change the registered agent, the agent's email or the registered office; a separate Statement of Change does the same. A report missing something comes back for correction; refiled within 30 days of the notice, it counts as on time.

If the report is late or isn't filed

A report more than a year overdue is grounds for administrative dissolution: the Department writes to the registered agent, and the LLC has 60 days to put it right. Administrative dissolution ends the LLC's exclusive right to its name. A dissolved LLC can apply for reinstatement once each ground is cured and every fee and penalty is paid. Reinstatement reaches back to the date of dissolution, as if it had never happened.
