Georgia limits the characters as well as the words. Stick to English letters, Arabic or Roman numerals and the symbols on a standard keyboard, and keep the whole name, ending, spaces and punctuation included, to 80 characters or fewer. Leave out terms that belong to other entity types: corporation, incorporated, professional corporation, limited partnership, limited liability partnership and limited liability limited partnership, or their abbreviations (Ga. Comp. R. & Regs. 590-7-20). Inside the endings, “Ltd.” or “Ltd” can replace “limited” and “Co.” or “Co” can replace “company”.

How Georgia decides two names are the same

The Secretary of State compares your LLC's name with the names of existing entities and with names under an active reservation, and it has to be distinguishable from all of them. Georgia doesn't let you reserve an entity indicator like LLC or Inc. as part of the name.

Forming the LLC in Georgia

Articles of Organization (Form CD 030) form the LLC: $100 when filed online, $110 by mail or in person. Faster processing costs $100 more for two business days or $250 more for same day, if filed before noon.

From the year after it's formed, a Georgia LLC renews its annual registration by April 1 each year: $50 online, $60 on paper, and $25 more if it's late. Multi-year registrations covering two or three years are available. There's no franchise tax at the Secretary of State, and our research found no newspaper notice required for LLCs, unlike Georgia corporations, which publish a Notice of Intent to Incorporate. For proof of good standing, a Certificate of Existence is $10 online or $20 on paper.

When the LLC trades under another name

An LLC that trades under another name registers it as a trade name with the Clerk of Superior Court in the county where it chiefly does business (O.C.G.A. § 10-1-490), then publishes the registration in the county legal organ once a week for two consecutive weeks.
