How to search and claim an LLC name in Wyoming
- Search Wyoming's official entity records at no cost, leaving “LLC” off the name.

A Wyoming LLC's name ends in “limited liability company”, “LLC”, “L.L.C.”, “limited company”, “LC”, “L.C.”, “Ltd. liability company”, “Ltd. liability co.” or “limited liability co.”; a low-profit LLC uses “L3C” or a low-profit form. Banking terms (Bank, Banker, Banco, Banque, Trust and similar, in any language) need the Division of Banking's approval, and education terms (College, Edu, Educate, Institution, School and the like) the Department of Education's; those names must be filed on paper. So must names starting with “A” and a space, or with special characters. Nor may it point to a purpose the articles don't state, or hint at incorporation under the business corporation, close corporation or nonprofit laws (W.S. 17-29-108(a)(iii)), and “XYZCorp LLC”-style mixes of entity words aren't allowed.
How Wyoming decides two names are the same
Your LLC's name must differ on the Secretary of State's records from every corporation, LLC, limited partnership, statutory trust or foundation, trade name and other Wyoming entity, plus fictitious and reserved names, and it can't match or closely imitate a Wyoming-registered trademark. A single different letter or numeral, or a new order, distinguishes it (W.S. 17-16-401). The ending, “the”, “and”, “a”, “&”, punctuation, special characters, capitalization, spacing and singular or plural forms (Latin plurals too) don't. “XYZ 3”, “XYZ III” and “XYZ Three” count as different. Names of voluntarily dissolved companies are free immediately, but an administratively dissolved company's name stays blocked for two years. Irrevocable written consent from the holder with an undertaking to change its name, or a certified court judgment, can clear a conflict. Filings are reviewed the next business day, and an indistinguishable name can mean extra paperwork and fees.

To hold an LLC name, mail the Application for Reservation of Name with the $60 fee; emailed applications aren't accepted, and processing can take 15 business days. The name is reserved for 120 days. If you're filing the articles right away, skip it: a reservation isn't needed when both go in together. A signed notice transfers a reservation to someone else.

Forming the LLC in Wyoming
The Articles of Organization cost $100 by mail or $102.40 on WyoBiz, where a 2.4% card processing fee (minimum $1) applies and the LLC is active the moment the filing is complete. Paper filings can take 15 business days. Every series designated under a series LLC adds $10. The new expedite service, $700 for next business day or $1,400 same day since July 1, 2026, doesn't cover formations that can be filed online, or names needing Education or Banking approval.

The annual report is due on or before day one of the LLC's anniversary month (formed May 15, due May 1), and it can go in up to 120 days early. With it comes the annual license tax: the greater of $60 or two-tenths of one mill on each dollar of Wyoming assets ($1,210,000 in assets means $242). Online filing adds the 2.4% card fee, and e-filing isn't allowed when the fee exceeds $500. The LLC is delinquent on the second day of the next month and administratively dissolved 60 days after the due date, with reinstatement possible only within two years. No publication is required. A Certificate of Good Standing can be generated free on WyoBiz; a signed one by mail is $20.
When the LLC trades under another name
Registering a trade name in Wyoming is optional. If your LLC wants one, it must already be using the name and be in good standing; the notarized application goes by mail with $100, and the registration lasts 10 years, renewable for $50. Once registered, it blocks later names that aren't distinguishable from it.
