How to search and claim an LLC name in Arizona

  1. Search Arizona's official entity records at no cost, leaving “LLC” off the name.
  2. Make sure the name ends with one of Arizona's accepted endings, such as “Limited Liability Company” or “Limited Company”.
  3. Hold the name with a $10 reservation for 120 days if you need time before filing.
  4. File the Articles of Organization with the Arizona Corporation Commission for $50.

What an Arizona LLC name must include

Arizona accepts these endings for a limited liability company:

  • Limited Liability Company
  • Limited Company
  • L.L.C.
  • LLC
  • L.C.
  • LC

Three words are off limits in an Arizona LLC name: “association”, “corporation” and “incorporated”, abbreviations included. Banking terms such as Bank, Banco, Banque, Credit Union, Deposit, Savings and Loan Association, Thrift or Trust can't be used without the Department of Financial Institutions' prior written approval (A.R.S. § 29-3112(E)). Professional LLCs take their own endings: Professional Limited Liability Company, P.L.L.C., P.L.C., PLLC or PLC (A.R.S. § 29-4106).

How Arizona decides two names are the same

When the Commission compares names it drops entity words like Inc., LLC and Corp. (A.R.S. § 29-3112(D)). Whatever is left has to differ from the names of existing entities and of companies registered to do business in Arizona, from any reserved or registered name, and from the Secretary of State's trade name register.

Where the rules are written. A.R.S. § 29-3112 (LLC); § 29-4106 (PLLC); § 10-401 (corporations).

Searching for an LLC name in Arizona

The Arizona Business Center, the Corporation Commission's online system that the old eCorp address now leads to, is free and includes a name availability search. Run the same name through the Secretary of State's trade name records as well, since a registered trade name can block an LLC name.

Leave the ending off when you search, so every version of the name shows up, then compare each result word by word. If one matches apart from spacing, punctuation or a plural, change a real word in your name.

Forming the LLC in Arizona

Articles of Organization go to the Corporation Commission: $50 standard or $85 expedited, with next-day, same-day and two-hour service available for an additional $100, $200 and $400.

File the Articles of Organization online

Most new Arizona LLCs must publish a notice of their articles: three consecutive times in a newspaper of general circulation in the statutory agent's county (judged by the agent's street address), within 60 days after the Commission files them, and only after approval. An affidavit of publication may then be filed. Where the agent's address is in Maricopa or Pima County, the Commission posts the notice on its own site and there's nothing to publish (A.R.S. § 29-3201(G)). Arizona LLCs file no annual report and owe no franchise tax. A Certificate of Good Standing costs $10, or $45 expedited.

When the LLC trades under another name

An Arizona LLC can use another name by registering it as a trade name with the Secretary of State. It's optional and costs $10 (A.R.S. § 44-1460; § 41-126).
