What the report asks for

Every New Jersey business files one: it confirms that the registered agent and address are up to date, with the $75 fee. Changing the registered agent or office is a filing of its own, $25.

How to file it

  1. Look up the LLC's record in the New Jersey business entity search on our sister site or the state's own search: its exact name, status and registered agent.
  2. File it. Online through the Division's Annual Reports and Change Services, which also changes a registered agent or office, reinstates a business and closes one. Each filing produces a certificate that can be validated as proof.
  3. Pay the fee shown above with the filing.
  4. Watch for look-alike offers. Private companies offer to prepare or file the report for a fee on top of the State's own, and the Division warns that some aren't reputable and don't do the work once paid. The State doesn't authorize their online postings or mailed solicitations, however official they look.
  5. Keep the confirmation with the LLC's records, and note next year's due date.

If the report is late or isn't filed

Two years in a row without a report, and the State can void the LLC's charter, or revoke a foreign LLC's authority to do business in New Jersey. An LLC on the inactive list that applies more than two years after its revocation needs a tax clearance certificate. Reinstatement starts online with the annual report, using the business's entity ID and the month and year it was formed. The system says whether a tax clearance certificate is needed: if not, the whole process is online; if so, the business is reinstated once the Division of Taxation has settled its outstanding taxes and debts and issued the certificate. Reinstating the charter costs $75.
