The Michigan annual report at a glance
| Michigan | |
|---|---|
| What it's called | Annual statement. |
| Fee | $25 annual statement; $50 penalty if received after February 15. |
| Due | February 15 each year after the LLC is formed; an LLC formed after September 30 skips the first February 15. Online filing opens October 15. |
| Reminder | Giving the resident agent's email brings reminders to pay and notices of changes to the filing, which help prevent business identity theft. Reminders go out 90 days before the due date, and so do notices that the LLC faces dissolution or losing its good standing. |
| Foreign LLCs | A foreign LLC authorized to do business in Michigan files the same statement by February 15, and skips the first one if it was authorized after September 30. |
| Filed with | Michigan Department of Licensing and Regulatory Affairs (Corporations Division) |
What the report asks for
The registered office address and the resident agent's name and address, which must be in Michigan: a business can't be its own resident agent. A professional LLC must also name at least one member or manager who is a licensed professional, and pays $75 rather than an LLC's $25. The LLC has to keep a registered office and a resident agent in Michigan all the time: a Michigan resident whose office or home is the registered office, or a corporation or LLC formed or authorized in Michigan whose office is. If it has no agent, or the agent can't be found, a lawsuit can be served by registered mail to the state's administrator instead.
How to file it
- Look up the LLC's record in the Michigan business entity search on our sister site or the state's own search: its exact name, status and registered agent.
- File it. Online through the MiBusiness Registry Portal. It isn't a tax return: it keeps current the public record of businesses operating in Michigan that the Corporations Division must maintain.
- Pay the fee shown above with the filing.
- Keep the confirmation with the LLC's records, and note next year's due date.
If the report is late or isn't filed
After a two-year grace period, an LLC that hasn't filed is dissolved or loses its good standing, and may lose the rights to its name and assumed names. Getting back in good standing costs penalty fees.
Other Michigan filings
The report brings the record up to date; changing the LLC itself takes its own filing. Our Michigan LLC guide has the state's forms and fees, from the formation filing to the registered agent. Changing an LLC's name and registering in another state list Michigan's amendment and foreign filing, and how to dissolve an LLC in Michigan covers closing it, which ends the reports. Once the report is filed, a Michigan certificate of good standing proves the LLC is current.
