What the report asks for
The federal ID number, the LLC's exact name, its principal office, the Massachusetts office where it keeps its records, the general character of its business, its resident agent, each manager, and the people authorized to sign filings and real estate documents. The report can amend anything in the certificate except the resident agent, naming each change. Once filed, a copy appears in the Division's online records; a rejected report appears in its rejected queue with the rejection sheet.
How to file it
- Look up the LLC's record in the Massachusetts business entity search on our sister site or the state's own search: its exact name, status and registered agent.
- File it. Online through the Corporations Division's website, by fax as the Division allows, or on paper mailed or delivered to One Ashburton Place, Room 1717, Boston.
- Pay. Online or by fax: Visa, Mastercard, debit card or electronic funds transfer. By mail: a check or money order payable to the Commonwealth of Massachusetts; in person, cash too.
- Keep the confirmation with the LLC's records, and note next year's due date.
If the report is late or isn't filed
Two years without reports lets the Corporations Division start dissolving the LLC: it sends a notice, and an LLC that hasn't put things right within 90 days is dissolved. A dissolved LLC can apply for reinstatement at any time. A certificate of good standing ($25) requires every annual report filed and its fee paid. Before the LLC can file its certificate of cancellation, every annual report must be filed and paid.
