Illinois LLC annual report

Illinois calls it an annual report, and it's due before the first day of the LLC's anniversary month, the month it was organized, every year: an LLC organized on September 15 files before September 1. Here's what it costs, how to file it and what happens if it isn't filed.

Changing the LLC's details

The report can't change the registered agent or office: file it showing no changes, then change the agent or office online or on Form LLC-1.36/1.37.

How to file it

  1. Look up the LLC's record in the Illinois business entity search on our sister site or the state's own search: its exact name, status and registered agent.
  2. File it. Online, where the report you send is the original filing. Any penalty owed so far is paid with the fee when you file.
  3. On paper. You can't file online if the LLC has been administratively dissolved or revoked, has withdrawn, terminated or expired, has more than eight managers or managers not qualified to do business in Illinois, is changing its name, duration, purpose, registered agent or registered office, or must sign by layered signatures or power of attorney.
  4. Pay. By credit or debit card (Visa, Mastercard, Discover or American Express), plus a payment processor fee.
  5. Faster processing. $50 more for expedited service, asked for in person (not by mail) at the Springfield or Chicago office.
  6. Keep the confirmation with the LLC's records, and note next year's due date.

If the report is late or isn't filed

An LLC that still hasn't filed 120 days after going delinquent is administratively dissolved. A dissolved LLC can apply for reinstatement online, with every missing annual report (up to six years) and all the fees due. The answer comes by email within 10 business days, or within 24 hours on expedited service. The reinstatement application costs $200 ($100 more expedited), and a certificate of good standing $25.
