Florida LLC annual report

Florida calls it an annual report, and it's due between January 1 and May 1, starting the year after the LLC is formed. Here's what it costs, what it asks for, how to file it and what happens if it isn't filed.

What the report asks for

The LLC's name, its principal office and mailing addresses, the date it was formed, its federal EIN, and at least one person with authority to manage it, all current on the day you file. The report can add, remove or change the managers and authorized members and their addresses, the registered agent and its office, the principal office and mailing addresses, and the EIN. It can't change the LLC's name, which takes an amendment form by mail. A change after this year's report is filed goes on an amended annual report. If a report is missing information, the Division tells you, and a corrected report filed within 30 days of its notice still counts as on time.

How to file it

  1. Look up the LLC's record in the Florida business entity search on our sister site or the state's own search: its exact name, status and registered agent.
  2. File it. Online on Sunbiz, with the LLC's document number. It's required every year, even when nothing has changed. Paid by card, the report is processed and posted at once; by check, in the order it arrives. Typing your name in the signature block signs it. Once posted, an image of the report downloads free, and everything on it is public on the Division's website.
  3. Pay. Online by credit card (Visa, Mastercard, American Express or Discover), debit card or a prepaid Sunbiz E-File account. By mail, a check or money order payable to the Florida Department of State with the payment voucher, postmarked by May 1 to avoid the late fee.
  4. Keep the confirmation with the LLC's records, and note next year's due date.

If the report is late or isn't filed

Until the report is filed and every fee and penalty paid, the LLC can't bring or defend a lawsuit in a Florida court. An LLC whose report hasn't arrived by 5 p.m. Eastern on the third Friday in September is dissolved on the fourth Friday. A dissolved LLC still exists, but it may only wind up its affairs. Reinstate at any time by paying everything owed with an application or a current annual report. Reinstatement reaches back to the date of dissolution, and no one else can take the name for a year. The reinstatement application costs $100, and a certificate of status from the Division $5. A business that has closed doesn't file the report: dissolve the LLC instead.
