How to start an LLC in Wyoming

To start an LLC in Wyoming, file the Articles of Organization with the Wyoming Secretary of State (from $100) once you have a name the state will accept and a registered agent there. Then write an operating agreement, get a free EIN from the IRS and keep the LLC current with the state.

Step 1: Choose a name Wyoming will accept

The name has to end with “Limited Liability Company”, “LLC”, “L.L.C.” or another form the state accepts. It also has to differ from the names already on the Wyoming Secretary of State's records, and some words need another agency's approval. Check an LLC name in Wyoming against those rules and the registered names we hold, then confirm it on the official search.

Not ready to file? A reservation holds the name: $60, for 120 days. See how to reserve an LLC name.

Step 2: Appoint a registered agent

The Articles of Organization names a registered agent: a person or company with a street address in Wyoming who receives lawsuits and official notices for the LLC during business hours. You can usually serve yourself if you live in the state, or pay a commercial agent a yearly fee.

Our sister site lists the registered agents Wyoming companies use most, with how many companies each one serves.

Step 3: File the Articles of Organization

File it with the Wyoming Secretary of State. The fee is $102.40 online ($100 by mail). File online, or on paper. The LLC exists once the state accepts the filing.

How long it takes. Active immediately when filed online; mailed documents take up to 15 business days. Faster service: not for filings that can be made online, formations included; other documents $700 for the next business day or $1,400 the same day. (The office's page.)

Step 4: Write an operating agreement

Wyoming doesn't require one (W.S. 17-29-110(a)-(b)), but without it the state's default rules decide how the LLC is run and how profits and votes are shared. It stays in the company's records; it isn't filed.

Step 5: Get an EIN

An EIN (employer identification number) is the LLC's federal tax ID: banks ask for it to open a business account, and the LLC needs one to hire. The IRS issues it free; apply online at irs.gov once Wyoming has accepted the Articles of Organization.

Step 6: File the Wyoming LLC annual report

Fee: Annual license tax of $60 or two-tenths of one mill on the dollar ($0.0002) of the LLC's capital, property and assets located and employed in Wyoming, whichever is greater (W.S. 17-29-209). An LLC with $300,000 or less in Wyoming assets pays $60; $1,210,000 in assets pays $242. Filing online adds a 2.4% card processing fee (minimum $1); e-filing is not allowed if the fee exceeds $500. Due: On or before the first day of the anniversary month of formation each year (e.g. formed May 15, due May 1); may be filed up to 120 days early. Delinquent on the second day of the following month; administratively dissolved if not filed within 60 days after the due date. Reinstatement is possible only within two years. State tax or fee on LLCs Paid with the annual report: $60 or 0.02% of Wyoming assets, whichever is greater
